By submitting a sponsorship application (“Application”) for the Africa Summit Investments Golf Day (“the Summit”), the sponsoring entity (“Sponsor”) agrees to be bound by the following terms and conditions.

1. Application and Acceptance

1.1. The submission of an Application constitutes an offer to sponsor the Summit at the selected package level.
1.2. Acceptance of an Application is at the sole discretion of the Summit Organizers. Submission does not guarantee approval.
1.3. A sponsorship is only confirmed once the Application has been formally approved in writing by the Summit Organizers and the full sponsorship fee has been received.

2. Sponsorship Fees and Payment

2.1. All sponsorship fees are quoted in South African Rand (ZAR) and are exclusive of Value-Added Tax (VAT).
2.2. The full sponsorship fee is due upon receipt of the official invoice. Failure to make timely payment may result in the revocation of sponsorship benefits and the allocated package being offered to another entity.
2.3. All payments are to be made via electronic transfer to the bank account specified on the invoice.

3. Benefits and Execution

3.1. The Summit Organizers will make commercially reasonable efforts to deliver all benefits as described in the chosen sponsorship package.
3.2. The Organizers reserve the right to make alterations to the event format, schedule, or benefits due to circumstances beyond their reasonable control (Force Majeure), including but not limited to, changes in government regulations or health and safety advisories.
3.3. Specific benefits, such as speaking opportunities and VIP pairings, are subject to final confirmation and availability. The Organizers will not be held liable for the non-attendance of any specific individual.

4. Sponsor Obligations and Warranties

4.1. The Sponsor warrants that all information provided in the Application is accurate and that it has the full power and authority to enter into this agreement.
4.2. The Sponsor is responsible for providing all necessary brand assets (logos, marketing materials, etc.) in the required formats by the deadlines specified by the Organizers.
4.3. The Sponsor’s branding and activations must be of a professional standard and must not be defamatory, obscene, or illegal. The Organizers reserve the right to reject or remove any materials that do not meet their standards.

5. Cancellation and Refund Policy

5.1. All requests for sponsorship cancellation must be submitted in writing.
5.2. The following cancellation fees apply:

• More than 90 days before the Summit: 50% of the total sponsorship fee.

• Within 90 days of the Summit: 100% of the total sponsorship fee.
  5.3. No refunds will be given if the Sponsor is unable to attend the event.

6. Intellectual Property

6.1. The Sponsor grants the Summit Organizers a limited license to use its name, logo, and trademarks for the purpose of fulfilling the sponsorship benefits.
6.2. All intellectual property related to the Summit (including the “Africa Summit Investments Golf Day” name, logo, and content) remains the sole property of the Summit Organizers. The Sponsor is granted no right to use this IP beyond what is explicitly stated in their package benefits.

7. Limitation of Liability

7.1. The Summit Organizers’ total liability to the Sponsor under this agreement shall be limited to the total sponsorship fee paid.
7.2. The Organizers shall not be liable for any indirect, special, or consequential damages, including loss of profits or business opportunity.

8. Data Protection

8.1. The Sponsor agrees that its personal information, as provided in the Application, will be processed in accordance with the Protection of Personal Information Act (POPIA) and the Summit’s Privacy Policy.

9. Governing Law and Jurisdiction

9.1. This agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa.
9.2. Any disputes shall be subject to the exclusive jurisdiction of the South African courts.

10. Entire Agreement

10.1. These Terms and Conditions, together with the approved Application and sponsorship package description, constitute the entire agreement between the parties.
